By installing, accessing, or using the Modern Eco Packaging QuickBooks App ("App"), you agree to be bound by this End User License Agreement ("Agreement"). If you do not agree to these terms, do not install or use the App. If you are accepting on behalf of a company or organization, you represent that you have authority to bind that entity.
1. Acceptance of Terms
This End User License Agreement ("Agreement") is a legally binding contract between you ("User," "you," or "your") and Modern Eco Packaging LLC ("Company," "we," "us," or "our") governing your use of our QuickBooks integration application.
By clicking "Accept," "Connect," or "Install," or by accessing or using the App, you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy.
This Agreement is effective as of the date you first access or use the App ("Effective Date").
2. License Grant
2.1 Limited License
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App solely for your internal business purposes in connection with your authorized QuickBooks account.
2.2 License Restrictions
This license does not include the right to:
- Sublicense, sell, rent, lease, or distribute the App to any third party
- Modify, adapt, translate, reverse engineer, decompile, or disassemble the App
- Create derivative works based on the App
- Remove or alter any proprietary notices, labels, or marks
- Use the App to develop competing products or services
3. App Description
The Modern Eco Packaging QuickBooks App provides integration between your QuickBooks accounting software and Modern Eco Packaging's ordering and inventory systems. The App enables:
- Order Synchronization: Automatic creation of invoices and sales receipts for packaging orders
- Customer Management: Sync customer information between platforms
- Inventory Tracking: Update inventory levels and product information
- Financial Reporting: Generate reports combining packaging order data with QuickBooks financials
- Payment Processing: Track payment status and reconciliation
Features may be added, modified, or removed at our discretion with reasonable notice to users.
4. QuickBooks Data Access
To provide our services, the App requires access to certain data in your QuickBooks account. By connecting the App, you authorize access to:
Data access is provided through Intuit's OAuth 2.0 authorization framework. You may revoke access at any time through your QuickBooks account settings or by disconnecting the App. We comply with Intuit's developer policies and data handling requirements.
5. User Obligations
As a user of the App, you agree to:
- Maintain accurate and complete account information
- Protect the confidentiality of your login credentials
- Notify us immediately of any unauthorized access or security breach
- Use the App only for lawful business purposes
- Comply with all applicable laws, regulations, and Intuit's terms of service
- Maintain a valid QuickBooks subscription as required for App functionality
- Ensure all data you provide or sync is accurate and you have rights to use it
- Regularly review synced data for accuracy
6. User Restrictions
You agree NOT to:
- Use the App for any illegal, fraudulent, or unauthorized purpose
- Interfere with or disrupt the App's operation or servers
- Attempt to gain unauthorized access to any systems or networks
- Transmit viruses, malware, or other harmful code
- Use automated systems (bots, scrapers) except as expressly permitted
- Exceed reasonable usage limits or API rate limits
- Misrepresent your identity or affiliation
- Use the App in any manner that violates Intuit's policies
- Share access credentials with unauthorized parties
7. Data & Privacy
7.1 Data Collection
We collect and process data as described in our Privacy Policy, which is incorporated into this Agreement by reference. By using the App, you consent to such collection and processing.
7.2 Data Security
We implement industry-standard security measures to protect your data, including:
- Encryption of data in transit (TLS 1.2+) and at rest
- Secure authentication protocols
- Regular security audits and monitoring
- Access controls and employee training
7.3 Data Retention
We retain your data only as long as necessary to provide the App services and comply with legal obligations. Upon termination, we will delete or anonymize your data within 90 days, except as required by law.
7.4 Third-Party Services
The App integrates with QuickBooks, a service provided by Intuit Inc. Your use of QuickBooks is governed by Intuit's terms of service and privacy policy. We are not responsible for Intuit's data practices.
8. Intellectual Property
8.1 Our Rights
The App, including all content, features, functionality, software, and documentation, is owned by Modern Eco Packaging LLC and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted are reserved.
8.2 Your Content
You retain ownership of your business data and content. By using the App, you grant us a limited license to access, use, and process your data solely to provide and improve the App services.
8.3 Feedback
If you provide suggestions, feedback, or ideas about the App, you grant us a perpetual, royalty-free license to use such feedback without obligation to you.
8.4 Trademarks
QuickBooks is a registered trademark of Intuit Inc. Modern Eco Packaging is a trademark of Modern Eco Packaging LLC. No license to use these marks is granted except as expressly provided.
9. Disclaimers
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
We do not warrant that:
- The App will be uninterrupted, error-free, or secure
- Defects will be corrected within any specific timeframe
- The App will meet your specific requirements
- Data synchronization will be 100% accurate at all times
- The App will be compatible with all QuickBooks versions or configurations
You are solely responsible for verifying the accuracy of synced data and maintaining appropriate backups.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- IN NO EVENT SHALL MODERN ECO PACKAGING LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.
- OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
- THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow limitation of liability for certain damages, so some of the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Modern Eco Packaging LLC, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the App
- Your violation of this Agreement
- Your violation of any applicable law or third-party rights
- Any data or content you submit through the App
- Your negligence or willful misconduct
12. Termination
12.1 Termination by You
You may terminate this Agreement at any time by disconnecting the App from your QuickBooks account and ceasing all use of the App.
12.2 Termination by Us
We may suspend or terminate your access to the App at any time, with or without cause, with or without notice. Grounds for termination include:
- Violation of this Agreement
- Fraudulent or illegal activity
- Non-payment of applicable fees
- Discontinuation of the App or service
- Request by Intuit or law enforcement
12.3 Effect of Termination
Upon termination:
- Your license to use the App immediately ends
- We will cease accessing your QuickBooks data
- You must delete any App-related materials in your possession
- Sections 8-11 and 14 shall survive termination
13. Changes to This Agreement
We reserve the right to modify this Agreement at any time. We will provide notice of material changes by:
- Posting the updated Agreement on our website
- Sending an email to registered users
- Displaying a notice within the App
Continued use of the App after changes become effective constitutes acceptance of the modified Agreement. If you do not agree to the changes, you must stop using the App and disconnect it from your QuickBooks account.
14. General Provisions
14.1 Governing Law
This Agreement is governed by the laws of the State of Missouri, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Missouri.
14.2 Entire Agreement
This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Modern Eco Packaging LLC regarding the App and supersedes all prior agreements.
14.3 Severability
If any provision of this Agreement is found unenforceable, the remaining provisions shall continue in full force and effect.
14.4 Waiver
Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
14.5 Assignment
You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement without restriction.
14.6 Force Majeure
We shall not be liable for any failure or delay due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, government actions, or internet/infrastructure failures.
14.7 No Third-Party Beneficiaries
This Agreement does not create any third-party beneficiary rights, except that Intuit Inc. is an intended third-party beneficiary of your obligations regarding their platform.
